Terms of Service

1. Acceptance of these Terms

These Terms of Service (the "Terms") govern your access to and use of Kalori, including the Kalori mobile application, the Kalori Band, and related services (together, the "Service"). By creating an account, pairing a Kalori Band, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to create a Kalori account. If you are under 18, a parent or legal guardian must review these Terms and our Privacy Policy and consent to them on your behalf before you use the Service.

The Service is currently offered only to residents of the United States. It is not currently available to residents of Illinois. We may expand or restrict availability by state at our discretion, and we will update this section if that changes.

3. The Service

Kalori is a fitness rewards platform built around two components: the Kalori mobile app and the Kalori Band, a wearable sensor that measures your activity. Together they verify your workouts and convert eligible, sensor-verified calorie burn into KaloriPoints, a promotional rewards currency described in Section 5. Access to the core features of the Service requires an active, paid subscription.

4. Subscriptions and billing

Kalori is offered on a subscription basis. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. The price you agree to pay is the price shown at checkout at the time you subscribe. Where required by law, we will provide advance notice before an annual subscription renews.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service through that date. We do not provide partial refunds for unused time within a billing period, except as required by law or as described below.

If you return your Kalori Band, undamaged and in its original packaging, within 30 days of the date it was delivered to you, we will refund the subscription payment associated with that purchase. This money-back guarantee applies once per customer and is separate from your ability to cancel a subscription at any time.

5. KaloriPoints

KaloriPoints are a promotional rewards currency that you earn by completing workouts verified by your Kalori Band's sensors. KaloriPoints have no cash value. They cannot be sold, transferred to another person, exchanged for cash, or redeemed for anything other than the rewards we make available through the Service.

KaloriPoints expire 18 months after the date they are earned. Points are used in the order they were earned, oldest first.

We rely on the integrity of sensor data to award KaloriPoints fairly. If we determine that you manipulated, tampered with, or attempted to defraud the Kalori Band, the app, or the KaloriPoints system, we may forfeit the associated points, suspend or terminate your account, and take other action available to us under these Terms.

The KaloriPoints program, including how points are earned, valued, and redeemed, may change over time as we grow our network of partner brands. We will provide notice in the app before we make a material change to the program that affects points you have already earned.

6. Acceptable use

When using the Service, you agree not to:

  • Manipulate, spoof, or interfere with the sensor data produced by the Kalori Band or the app
  • Use bots, scripts, macros, or other automated means to interact with the Service
  • Reverse engineer, decompile, or disassemble the app or the Kalori Band's firmware, except to the extent applicable law expressly permits
  • Create or maintain more than one account per person, or use an account that is not your own
  • Use the Service for any unlawful purpose or in a way that could damage, disable, or impair it

7. Health and safety

Kalori is a consumer wellness and fitness product. It is not a medical device, has not been cleared or approved by the FDA, and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The metrics shown in the app, including heart rate, calories, sleep, and other readings, are informational and are not a substitute for professional medical advice. Talk to a healthcare professional before starting any new exercise program, especially if you have an existing health condition.

Stop exercising immediately and seek medical attention if you experience dizziness, chest pain, shortness of breath, or a strong or irregular heartbeat while using the Service. If you are experiencing a medical emergency, call 911.

8. Intellectual property

The Service, including the app, the Kalori Band's design and firmware, our trademarks, logos, and all related content, is owned by Kalori or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not expressly granted to you are reserved.

9. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access to the Service if you violate these Terms, misuse the Service, or if we reasonably believe your continued use presents a risk to Kalori, other users, or our partners. Sections of these Terms that by their nature should survive termination, including Sections 5, 7, 8, 10, and 11, will survive.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Kalori disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that sensor readings will always be perfectly accurate.

To the fullest extent permitted by law, Kalori will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas, unless applicable law requires otherwise.

12. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you through the app or by email before the change takes effect. Your continued use of the Service after a change takes effect means you accept the updated Terms.
